Electronic Signature Declaration

By proceeding with registration, you acknowledge and agree that these User Registration Terms and Conditions ("Terms") are executed by electronic signature. You understand that your electronic acceptance has the same legal effect as a handwritten signature and that you consent to be bound by these Terms once you complete the registration process on the Mamun platform.

Introduction

Please read these Terms carefully before registering as an investor on the Mamun platform (the "Platform").

The Platform is owned and operated by Mamun Crowd Funding LLC (CR 1471644), holder of CMA License No. خ/161/2022, P.O. Box 501, PC 112, Muscat, Sultanate of Oman ("Mamun", "Operator", "we", "us").

These Terms constitute a legally binding agreement between you ("Investor", "you") and the Operator and govern your access to and use of the Platform.

By registering and using the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must not proceed with registration.

1. Eligibility

You represent and warrant that:

You are at least 18 years of age and legally competent.
You are of sound mind and capable of entering into binding agreements.
If registering on behalf of a legal entity, you have full authority to bind that entity to these Terms.

2. Account Registration and Security

You agree to provide accurate, complete, and up-to-date information during registration and to keep such information current.

You are solely responsible for:

Maintaining the confidentiality of your login credentials.
Preventing unauthorized access to your account.

You must notify Mamun immediately of any suspected unauthorized use or security breach. Mamun shall not be liable for losses resulting from your failure to protect your credentials.

3. Role of the Operator

Mamun operates the Platform as a facilitator that enables Investors to view and participate in financing or investment opportunities related to businesses seeking trade or working capital financing ("Businesses").

For the avoidance of doubt:

Mamun does not offer investments.
Mamun does not act as a lender, principal, or counterparty.
Mamun does not provide investment advice, recommendations, or guarantees.

Mamun facilitates access to financing opportunities by enabling Investors to review opportunities associated with Businesses and to participate in such opportunities at their own discretion and risk.

All investment decisions are made solely by the Investor.

Mamun may modify, suspend, or discontinue any aspect of the Platform for operational, regulatory, security, or technical reasons.

4. Investment Risks

You acknowledge and accept that:

All investments involve risk, including the risk of partial or total loss.
Investments made through the Platform may be speculative and illiquid.
Past performance is not indicative of future results.
Many investment opportunities are linked to underlying trade transactions and settlement cycles, which may be affected by counterparty performance, operational delays, or market conditions.

You are solely responsible for conducting independent research and due diligence before making any investment decision.

5. Investment Information

Information presented on the Platform regarding financing or investment opportunities is provided by the relevant Businesses or, where applicable, by Mamun in relation to structured trade finance arrangements.

Mamun does not warrant the accuracy, completeness, or reliability of such information. Any reliance on Platform information is at your own risk.

6. Investment Process

Mamun acts solely as an intermediary facilitating the investment and financing process between Investors and Businesses.

Mamun does not participate in the underlying commercial operations of the Businesses and does not assume responsibility for their performance.

Investment decisions and investment amounts are solely your responsibility. You should consider your financial position, risk tolerance, and objectives and seek independent professional advice where appropriate.

7. Fair Use of the Platform

You agree not to:

Use the Platform for unlawful, fraudulent, or improper purposes.
Impair Platform functionality or security.
Misuse confidential or proprietary information.
Engage in conduct that harms Mamun, other users, or the public.

Your account is personal and non-transferable and may not be used for resale, redistribution, or commercial exploitation.

8. Fees and Taxes

Mamun may charge fees for Platform usage or related services, including subscription fees, transaction fees, withdrawal fees, or commissions. Applicable fees will be disclosed prior to use.

You are responsible for all applicable taxes arising from your investments. Mamun does not provide tax advice.

9. Membership Tiers

The Platform may offer multiple membership tiers with varying features and pricing. Membership terms, pricing, and benefits may be revised from time to time.

Billing cycles commence upon registration or upgrade. Upgrades reset the applicable billing period.

10. Automated Investment Allocation (AiA)

Mamun may offer an Automated Investment Allocation service ("AiA") allowing deposited funds to be allocated based on Investor-selected criteria.

You acknowledge that:

AiA does not eliminate investment risk.
AiA does not guarantee returns.
AiA relies on information provided by Businesses and third parties.

Use of AiA is subject to additional terms presented separately.

11. Communications, Privacy, and Confidentiality

You consent to receiving electronic communications relating to the Platform and your account.

Personal data is processed in accordance with Mamun's Privacy Policy available at mamun.om/privacy.

You agree to maintain the confidentiality of all non-public information accessed through the Platform. This obligation survives termination and does not apply to information lawfully in the public domain.

12. Suspension and Termination

Mamun may suspend or terminate your account immediately for reasons including:

Breach of these Terms
Regulatory or security concerns
Anti-money laundering or sanctions risk
Fraud, misrepresentation, or identity misuse
Legal or regulatory requirements

Termination does not affect existing investments, which remain subject to their governing terms.

13. Limitation of Liability and Indemnity

To the maximum extent permitted by law:

Mamun shall not be liable for investment losses or indirect, incidental, or consequential damages.
Mamun's total liability shall not exceed fees actually paid to Mamun for use of the Platform.

You agree to indemnify Mamun against claims arising from your use of the Platform or breach of these Terms.

14. Disputes Between Investors and Businesses

Any disputes arising between an Investor and a Business must be resolved directly between those parties, unless otherwise specified in a separate investment or financing agreement.

Mamun is not a party to such disputes and shall not be responsible for their resolution, though it may assist at its discretion.

15. Intellectual Property

All intellectual property rights in the Platform remain with Mamun or relevant third parties. No rights are transferred to you.

16. Assignment

You may not assign or transfer your rights or obligations under these Terms without Mamun's prior written consent.

17. Governing Law and Arbitration

These Terms are governed by the laws of the Sultanate of Oman.

Any dispute arising out of or in connection with these Terms shall be resolved by arbitration under the rules of the Oman Commercial Arbitration Center by three arbitrators. The arbitral award shall be final and binding.

18. Amendments

Mamun may amend these Terms from time to time. Continued use of the Platform constitutes acceptance of the amended Terms.

19. Entire Agreement

These Terms, together with any referenced policies, constitute the entire agreement between you and Mamun and supersede all prior agreements or understandings.
